Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Echoprice’s WhatsApp quotation bot, web portal, and related services (the “Service”). By using Echoprice, you agree to be bound by these Terms.

1. The Service

Echoprice provides a software tool that helps contractors generate professional quotation PDFs via WhatsApp. We take the information you provide in chat and format it into a document that you can share with your clients.

Echoprice is a software tool only. It does not provide financial advice, legal advice, tax advice, or any other professional advisory service.

2. Eligibility and accounts

You must be at least 18 years old and capable of entering into a binding contract to use the Service. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

3. Your responsibilities

By using Echoprice, you agree that:

  • You will only use the Service for lawful purposes and in compliance with applicable laws and regulations.
  • You are solely responsible for the accuracy and completeness of all information you provide, including client names, job descriptions, quantities, and pricing.
  • You will review and verify every quotation PDF generated by Echoprice before sending it to your client.

You are responsible for reviewing the final quote before sharing it with your client. To the fullest extent permitted by law, Echoprice is not liable for user-input errors such as typos, incorrect pricing, or miscalculations in generated PDFs.

4. WhatsApp Business Platform & Twilio

Echoprice delivers messages, voice notes, media and PDF quotations through the WhatsApp Business Platform, which is operated by Meta Platforms, Inc. and its affiliates (including WhatsApp LLC and WhatsApp Ireland Limited, collectively “Meta”). We connect to the WhatsApp Business Platform through Twilio Inc., our authorised Business Solution Provider (BSP).

Because Echoprice runs on top of these platforms, when you use the Service you also agree, in addition to these Terms, to be bound by:

  • WhatsApp Business Terms of Service and the WhatsApp Business Solution Terms.
  • The WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy.
  • Meta’s Business Tools Terms and Meta’s Platform and advertising policies where they apply to messaging.
  • Twilio’s Terms of Service and Acceptable Use Policy, including the messaging-channel rules that apply to WhatsApp.

By sending or receiving messages through Echoprice, you represent and warrant that:

  • You have obtained the necessary consent (opt-in) from each end-user (your client) before initiating a WhatsApp conversation with them. A client first messaging you on WhatsApp counts as opt-in for the related quotation thread; outbound or marketing-style messages must follow Meta’s template and opt-in rules.
  • You will not use the Service to send spam, unsolicited promotional messages, scams, phishing, adult content, illegal goods, weapons, or any content prohibited by Meta’s WhatsApp Business Messaging Policy or Twilio’s Acceptable Use Policy.
  • You will respect the WhatsApp 24-hour customer service window: free-form messages may only be sent within 24 hours of the client’s last inbound message; outside that window only approved message templates may be used.
  • You will not use Echoprice to send messages on behalf of another business without that business’ explicit authorisation.
  • You will provide a clear and easy way for clients to opt out of receiving further messages, and you will honour stop / unsubscribe requests promptly.

We may throttle, suspend, or terminate your access to the Service at any time, with or without notice, if we (or Meta or Twilio) reasonably believe your usage violates these Terms, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, Meta’s Business Tools Terms, or Twilio’s Acceptable Use Policy. Meta and Twilio may also independently suspend or block messages or numbers in line with their own rules and quality ratings, and Echoprice has no control over and is not responsible for those decisions.

You acknowledge that Meta and Twilio are independent third parties. They are not parties to these Terms and they make no representations or warranties to you through Echoprice. Your relationship with WhatsApp, Meta and Twilio is governed by their own terms.

5. Payment processing

Where online payment links are available, Echoprice may enable contractors to collect payments from their clients through digital payment links embedded in invoices. Payment processing for these links is currently provided by Stitch Technology Services (Pty) Ltd (“Stitch”), a payment service provider authorised and regulated in the Republic of South Africa, or another approved and regulated payment service provider.

When you use an Echoprice-generated online payment link, you will be redirected to the payment provider’s own hosted payment interface. Supported payment methods include:

  • Instant EFT — real-time bank-to-bank transfers from all major South African banks.
  • Capitec Pay — one-tap payments via the Capitec banking app.

By initiating or receiving a payment through an online Echoprice invoice link, you (and, where applicable, your client) agree to be bound by the applicable payment provider’s terms, including, where Stitch is used, Stitch’s Terms of Service and Stitch’s Privacy Policy. Stitch is an independent third party and a licensed payment service provider; they are not a party to these Terms and make no representations to you through Echoprice.

Contractor responsibility: As the contracting party, you are responsible for ensuring that the invoice amount, recipient details, and payment reference are correct before sharing a payment link with your client. Echoprice is not liable for funds sent to an incorrect account as a result of errors in the information you provide.

Transaction fees: Payment providers charge transaction fees on payments collected through their platform. Free-plan users may have an additional Echoprice service fee applied on top of the provider’s base rate. Professional-plan subscribers pay wholesale provider rates with no Echoprice markup. Current fee rates are shown in your portal at the time of invoice creation.

Instant EFT finality: Instant EFT and Capitec Pay payments processed through Stitch are bank-authorised transfers that are generally final and irreversible once settled. Unlike card payments, they are not subject to consumer chargebacks. Any request for a refund after settlement must be agreed directly between you (the contractor) and your client; Echoprice has no ability to reverse a completed payment.

Prohibited payment categories: You must not use Echoprice payment links to collect payment for any of the following, or any category that Stitch prohibits in its merchant terms: illegal goods or services; gambling or gaming of chance; adult or sexually explicit content; counterfeit goods; financial services or investment schemes not properly licensed in South Africa; weapons or ammunition; or any product or service that violates applicable law. Echoprice reserves the right to disable payment links for any account that violates this restriction.

Identity verification and FICA compliance: Stitch, as a licensed payment service provider, is required to comply with the Financial Intelligence Centre Act (FICA) and related anti-money-laundering (AML) obligations. This means that Stitch may request identity verification or additional information from contractors or clients as a condition of processing payments. Echoprice has no control over those requirements and is not liable for any delays or declined transactions resulting from KYC or AML checks performed by Stitch.

Refunds and disputes: Echoprice is not a party to the underlying trade between you and your client. Refund requests, payment disputes, and any claims arising from a completed payment must be resolved directly between you and your client (and, where relevant, via Stitch’s dispute process). Echoprice has no ability to reverse completed payments.

Service availability: Online payment link functionality depends on provider approval, configuration, and platform availability. We do not guarantee uninterrupted access to payment collection features, and we are not liable for downtime or failures caused by a payment provider or its banking partners.

6. No financial or legal advice

Echoprice is not a financial advisor, legal advisor, or tax advisor. Any outputs, suggested wording, or formatting provided by the Service are for convenience only and should not be relied upon as professional advice.

You are responsible for ensuring that your quotes comply with applicable consumer, tax, and industry regulations and that they reflect the agreements you make with your clients.

7. Service availability and third-party dependencies

Echoprice depends on third-party platforms such as the WhatsApp Business Platform (operated by Meta), Twilio, Google Gemini, and cloud hosting providers. As a result, the Service may be interrupted, delayed, or degraded due to issues outside our direct control.

We do not guarantee uninterrupted or error-free operation of the Service, nor do we guarantee the uptime or performance of any third-party APIs or networks that Echoprice relies on, including the WhatsApp Business Platform and Twilio.

We may modify, suspend, or discontinue parts of the Service at any time, with or without notice, provided that we act reasonably and in good faith.

8. Plans, billing, and usage limits

Echoprice is offered on a freemium basis. Generating quotes and invoices is free on every plan. The example or introductory PDF that we send you during onboarding is a demonstration and does not affect your standing.

We currently offer two plans:

  • Free plan – R0/month. Unlimited draft quotes and invoices during beta. PDFs include an Echoprice watermark. Payment links carry Echoprice transaction fees, currently 2.85% for card payments and 1.95% for EFT or Capitec Pay where available.
  • Professional plan – R79/month. Everything in Free, plus: supplier-backed quote confidence reports, a saved supplier price book and contractor overrides, client accept/change/deposit actions on shared quotes, removal of the Echoprice watermark from PDFs, manual cash/EFT payment logging, and wholesale payment rates when payment links are enabled.

Subscriptions are billed monthly in South African Rand and may be cancelled at any time from your portal. Unless the portal states otherwise, downgrades take effect immediately so you can return to the Free plan without waiting for the end of a billing period. Prices may change from time to time; the version shown in your portal at the time of checkout is the version that applies. Payments are generally non-refundable except where required by law.

Legacy prepaid quote packages are no longer sold. Quotes and invoices are unlimited on all plans.

We may enforce reasonable usage and rate limits to protect the Service from abuse, control operating costs, and comply with the rules of the WhatsApp Business Platform and Twilio.

9. Intellectual property

Echoprice, including its brand, website, software, and design, is owned by us and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own business purposes.

You may not copy, reverse engineer, resell, or create derivative works from the Service without our prior written consent.

10. Limitation of liability

To the fullest extent permitted by law, Echoprice and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or business opportunities, arising out of or in connection with your use of the Service.

Without limiting the above, and for the avoidance of doubt:

  • Echoprice is not responsible for any typos, incorrect pricing, miscalculations, or other errors in generated PDFs. You must review and confirm all figures and wording before sending a quote to your client.
  • We are not responsible for lost opportunities, disputes with your clients, or any contractual or financial consequences resulting from quotations generated using the Service.
  • We are not liable for downtime or failures caused by WhatsApp, Twilio, Google Gemini, or other third-party services.

In any event, and where liability cannot be excluded, our total aggregate liability arising out of or in connection with the Service will be limited to the amount you actually paid to Echoprice for the Service in the three (3) months preceding the event giving rise to the claim (or, if you are on a free plan, to the equivalent of R0.00).

11. Indemnity

You agree to indemnify and hold harmless Echoprice and its owners from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service in violation of these Terms or applicable law.
  • Your failure to verify quotation content before sending it to your client.
  • Any dispute between you and your clients relating to quotations, pricing, or work performed.

12. Termination

You may stop using Echoprice at any time. We may suspend or terminate your access to the Service if you violate these Terms, misuse the Service, or create security or operational risks.

Upon termination, your right to use the Service will stop immediately. Certain provisions that by their nature should survive (such as limitation of liability and indemnity) will continue to apply.

13. Governing law

These Terms are governed by the laws of South Africa, without regard to its conflict of law rules. Any dispute arising out of or relating to the Service or these Terms will be subject to the exclusive jurisdiction of the courts of South Africa.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. If changes are material, we may provide additional notice (for example, via email or a notice on our website).
